Course Overview

This course will introduce students to the concept of corporate governance and consider how it has evolved over recent decades, noting the role played by economic theory as well as by law. Topics discussed may include: Corporate Form and the Agency Problem, Directors and Shareholders, UK Corporate Governance Code, Comparative Corporate Governance, Emerging issues: CSR and ESG, Emerging issues: Parent Company Duty of Care. The precise range of topics considered may be adapted to reflect developments in the field as well as recent or current events.

Course Description

Following an introductory lecture, the course will proceed by way of six seminars, before a revision session in advance of the examination. The precise range of topics to be considered in the seminars may be adapted to reflect developments in the field and indeed recent or current issues, but may include the following: Corporate Form and the Agency Problem, Directors and Shareholders, UK Corporate Governance Code, Comparative Corporate Governance, Emerging issues: CSR and ESG, Emerging issues: Parent Company Duty of Care.
