This course is useful for students who are interested in consolidating their knowledge of Company Law. It covers a wide variety of topics including the nature and function of limited liability, minority shareholder protection, directors’ duties, company contracts and legal capital. Course Description

Course Aims: The course is aimed at providing students a solid understanding of the key issues in Company Law, namely: the nature and function of limited liability, the corporate constitution, company contracts, the division of powers within a company, directors’ duties, minority shareholder protection and legal capital. Main Learning Outcomes: At the conclusion of the seminars, students are expected to understand the following: 1. Limited Liability and Lifting the Veil of Incorporation. 2. The company’s constitution. 3. Company contracts 4. Management including division of power between board and general meeting; residual powers of general meeting; general meetings and resolutions; board meetings; legal rules governing the enforceability of transactions with companies. 5. Directors’ Duties 6. Minority Shareholder protection. 7. Legal Capital. Knowledge and Understanding As above. Subject Specific Skills and Concepts As above. Key Skills (Transferable) Company Law facilitates development of students’ commercial awareness, communication, problem solving, and other skills. Details, including assessments, may be subject to change until 31 August 2023 for 1st half-session courses and 22 December 2023 for 2nd half-session courses.

Summative Assessments

1st Attempt: 1 three-hour exam. Students must attempt three questions from a choice of seven (100%). Resit: Normally, no resit is available.

Formative Assessment

Students must write 4 timed essays (2,000 words; 2,500 words for MA Legal Studies students) based on past exam papers. The course co-ordinator will grade each essay and provide individual feedback to each student.
