Course Overview

This is a compulsory law course for the LLM/MSc in Corporate Finance. It will explore issues within the field of corporate governance, with reference to different legal systems. It will provide students with a wider and deeper understanding of various corporate governance issues that are crucial to the law of corporate finance.

Course Description

This course will cover a number of topics of particular relevance to corporate governance in the context of corporate finance. The content of the course will include the following:

  • What is corporate governance and why does it matter in the context of corporate finance?
  • The centrality of agency theory in explaining arrangements focused on the role of directors, institutional investors and creditors, as well as concepts such as the market for corporate control.
  • The critique offered by transaction cost economics and the implications for corporate governance.
  • Debt and equity as alternative governance structures.
  • Recent developments associated with the rise of environmental, social and governance reporting.
