Course Overview

This is an optional course at postgraduate level and offers a selective and critical examination of company laws in the UK and other systems. It is an appropriate course for students with an interest in working in the corporate sector or who wish to learn more about how company law operates in different countries. Key issues in comparative company law shall be examined and a range of topics will be covered, dealing with corporate entities, their ownership, management and activities.

Course Description

This course covers various significant issues relating to company law in a comparative and international context. References will be made to the laws of the UK, as well as to Germany, the USA and other jurisdictions. A selection of the following topics will be covered on the course:

  • Aims and Methodologies of Comparative Company Law
  • Separate Legal Personality and “Piercing the Corporate Veil”
  • Directors and their Duties
  • Protecting Minority Shareholders
  • Mergers and Acquisitions
  • Issues in the Ownership of Companies
  • Corporate Secured Finance
  • Corporate Insolvency
