Course Overview

This is a compulsory course for the LLM/MSc in Corporate Finance and Law. It will provide a grounding for those new to law, while offering deeper understanding to those who have previously studied law. The course will focus on key areas related to corporate finance law to assist students with connected courses. It will principally focus on the laws of the UK (including English law and Scots law, where appropriate) but will also feature a notable comparative law element.

Course Description

This course serves as an introduction to corporate finance law. It will cover a number of topics of particular relevance to the subject, such as:

  • The connections between economic and financial crises and corporate finance law.
  • Sources of law and legal systems: this will involve consideration of relevant legal sources, such as legislation, cases, and secondary sources. Attention will also be paid to different legal systems and how these compare and contrast to one another.
  • Law of obligations: there will be discussion of fundamental aspects of the various parts of the law of obligations, including contract law, delict/tort and unjustified enrichment, and their relevance to corporate finance.
  • Company law: attention will be paid to corporate vehicles, especially companies, with reference to the nature of companies and their operation and how they may seek to raise finance.
  • Property law: there will be consideration of the nature of property, classifications of property and what roles it serves in the context of corporate finance transactions.
  • There will also be references to other areas of law connected to corporate finance, including taxation law, sale of goods and additional aspects of commercial law.
