Course Overview

The course examines legal issues arising in relation to international sale contracts, governed either by English Common Law/ SOGA 1979 or by the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) (CISG).  This course acknowledges the importance of sale in international trade, and it is designed in a way to offer a myriad of legal concepts and rules under English law and the CISG.

Course Description

The course examines legal issues arising in relation to international sale contracts, governed either by English Common Law/ SOGA 1979 or by the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) (CISG).  This course acknowledges the importance of sale in international trade, and it is designed in a way to offer a myriad of legal concepts and rules under English law and the CISG.

These topics are: 

  • International sources of sales law,
  • Harmonization and unification of international trade law,
  • The drafting history of the CISG,
  • Applicable law to an international sale of goods contract,
  • Obligations of the parties, breach of contract, remedies for breach, and exemptions from liability for the non-performance,
  • Transfer of the risk,
  • Role of standard contracts in international sales,
  • Trade terms and Incoterms® 2020,
  • Role of a bill of lading in international sales,
  • Dispute resolution in international sales.

Students that take this course will:

  • gain knowledge and understanding of the international sale of goods law,
  • develop a critical understanding of how legislators, national courts, and arbitral tribunals approach the notion and regulation of international sales,
  • analyse and evaluate the role of the legislators, regulators and courts in the exercise of the regulation of international sale of goods.
